MISMO Starts Work on a Standard Template for Tri-Party eNote Bailee Agreements

What MISMO announced

MISMO, the real estate finance industry's standards organization, issued a call for participation on October 6, 2026 in a new Development Workgroup. The group will create a standardized industry template for Tri-Party eNote Bailee Agreements, also called Master Bailee Agreements. The kickoff meeting is Thursday, October 22, from 2:00 to 3:00 p.m. ET.

What a bailee agreement does

When a lender borrows on a warehouse line to fund a loan, it typically sells that loan to an investor later. A Master Bailee Agreement sets out the rights and responsibilities of the lender, the warehouse lender and the investor while the eNote is held in a custodial capacity pending funding, MISMO said.

Today these agreements are typically negotiated separately between trading partners. MISMO said that leads to "repeated negotiations of substantially similar terms," adding time and cost.

What the template will and will not be

  • It will be a consensus-based industry reference with a shared baseline of core terms.
  • It is meant to help trading partners streamline negotiations.
  • MISMO says it will serve as a reference and is not intended to provide legal advice.
  • Using it will be voluntary. Each firm still decides whether to adopt or modify it.

The workgroup follows an August workshop where MISMO opened industry discussion on whether to standardize these agreements.

Who MISMO wants at the table

The call targets mortgage lenders, warehouse lenders, investors and aggregators, and eMortgage technology providers. MISMO also asked for people from legal, capital markets, operations, compliance and technology teams. The workgroup is seeking a sponsor.

Joy Beam-Burns, senior vice president of mortgage warehouse lending at PCB Bank, said in the release that her bank negotiates the same terms repeatedly and that "those delays create roadblocks for clients as they move to adopt eNotes."

Why it matters for operations teams

  • Fewer custom agreements could shorten onboarding of a new warehouse or investor relationship.
  • Common terms could make eNote custody responsibilities easier to compare across partners.
  • The benefit depends on adoption. A template no one signs saves no time.
